Corporate Governance

Our Board of Directors has adopted corporate governance guidelines, which include guidelines for determining director independence and other matters relating to our corporate governance. We also have charters that address the duties and responsibilities of both the Audit Committee and the Compensation Committee of our Board of Directors. In addition, our Board of Directors has adopted a Code of Conduct applicable to all directors, officers and employees of Health Grades.

Communications to the Board of Directors regarding accounting, internal accounting controls or auditing matters will be referred to the Audit Committee. Other concerns will be addressed as determined by the Board of Directors. You can report your concerns to the Board of Directors or the Audit Committee anonymously or confidentially.
